Terms of Trade

The terms on which we provide our trading and logistics services to business buyers.

Placeholder wording. This page sets out the structure and covers the usual ground, but it has not been drafted or reviewed by a lawyer, and the company details are placeholders. Have it checked against the company's actual practices before the site goes live.

01

Scope

These terms govern the relationship between Élysée Global Trade and its business clients for sourcing, logistics and trading services. They apply to every order unless particular conditions are agreed in writing.

Our services are provided to professionals only and do not fall under consumer law.

02

Quotations and orders

Each service is the subject of a quotation setting out the specification, prices, lead times, Incoterms and terms. An order is firm once you accept the quotation in writing. Prices are exclusive of tax; duties, taxes and customs charges are borne by the client according to the agreed Incoterm.

03

Prices and payment

Payment terms and deadlines are stated on the quotation or invoice, within the statutory limits applicable between businesses. Late payment automatically triggers interest at the applicable legal rate and a fixed recovery indemnity of €40, in line with the French Commercial Code.

04

Delivery and Incoterms

Lead times are indicative and run from order confirmation. Transfer of risk and allocation of costs follow the agreed Incoterm 2020. A reasonable delay gives no right to cancellation or compensation unless otherwise agreed in writing.

05

Conformity and claims

The client checks the conformity of goods on receipt. Any claim must reach us in writing within a reasonable period after receipt, with supporting evidence. Our obligations are limited to replacing or refunding non-conforming goods, to the exclusion of any other loss.

06

Liability

Our liability is limited to direct, proven loss and may not exceed the value of the service concerned. Indirect loss — such as loss of business, revenue or margin — is excluded. Force majeure suspends our obligations for its duration.

07

Governing law and jurisdiction

These terms are governed by French law. Failing an amicable settlement, any dispute falls under the exclusive jurisdiction of the courts of Élysée Global Trade's registered office.
